Liaison Office in India
Sunil K. Khanna & Co. helps foreign companies to setup business in India by opening a representative office in India for representing their organization in India or for marketing and liaison purposes. The main benefit of a liaison/ representative office is that it is not liable to any taxes in India as it is not undertaking any business activity in India. Its scope of work is limited to liaison and marketing for parent company. It is however required to deduct tax at source wherever applicable.
A Liaison Office is in the nature of a representative office set up primarily to explore and understand the business and investment climate. A Liaison Office is not permitted to undertake any commercial/ trading/ industrial activity, directly or indirectly, and is required to maintain itself out of inward remittances received from parent company through normal banking channels. Its role is limited to collecting information about possible market opportunities and providing information about the company and its products to prospective Indian customers. It can promote export/ import from/ to India and also facilitate technical/financial collaboration between parent company and companies in India.

Activities Permitted for Foreign Liaison Office
It is subject to various restrictions and can only conduct activities permitted by the Reserve Bank of India at the time of granting permission for opening liaison office or if permitted later. It can only undertake the following activities in India.

All Companies registered under Companies Act-One Person Co., Private Limited Co., Public Co., are required to file Annual Financial Statements and Annual Returns with the Registrar of Companies. Non-Filing of such documents is an offence and the directors of Companies are liable for disqualification. MCA has introduced Condonation of Delay Scheme, 2018 (CODS- 2018) for all defaulting companies who have not filed its Annual Filings with the MCA. This Scheme is applicable from 01.01.2018 to 31.03.2018. During this period the co. will have to file all the pending annual filing forms along the e-form CODS 2018.

This scheme can only be availed by the companies whose directors has been disqualified but they have not been struck off by the Registrar under section 248(5). The Registrar will remove the disqualification of the directors for the said period to allow the directors to complete the pending filing with the MCA.

Procedure to be followed for the purposes of the scheme:-

The DINs of the disqualified directors de-activated at present shall be temporarily activated during the validity of the scheme to enable them to file the overdue documents.

The defaulting company & Defaulting Director shall file the overdue documents & E-Forms paying the statutory filing fee and additional fee payable as per section 403 of the Act read with Companies (Registration Offices and fee) Rules, 2014 for filing these overdue documents.

The defaulting company after filing documents under this scheme, shall seek condonation of delay by filing form E- CODS 2018 along with a fee of Rs. 30,000/- as prescribed under the Companies (Registration Offices and Fee) Rules, 2014 well before the last date of the scheme.

From 1st January, 2018 to 31st March, 2018, the Directors of defaulting company can file the following forms relating to annual return and appointment of Auditor:

· Form 20B/ Form MGT-7- Form for filing Annual Return by a company having share capital.

· Form 21A/ MGT-7- Particulars of Annual return for the company not having share capital.

· Form 23AC, 23ACA, 23AC- XBRL, 23ACA- XBRL, AOC- 4, AOC- 4(CFS), AOC (XBRL) and AOC- 4 (non- XBRL) – Forms for filing Balance Sheet/ Financial Statement and profit and loss account.

· Form 66- Form for submission of Compliance Certificate with the Registrar.

· Form 23B/ Form ADT- 1- Form for intimation for Appointment of Auditors.

On filing the necessary annual return and form E-CODS 2018, the DIN of the Director would be reactivated and the Registar of Companies would withdraw any case relating to the Director Disqualification if any.

For Directors who fail to utilize this opportunity, their disqualification will be made final for a period of five years and other penalties as prescribed under Companies Act, 2013 would apply.
